I work as legal counsel to both established and start-up enterprises, focusing on the design of regulatory risk and compliance models.  My focus helps a client seize four strategic opportunities:

 

 

 

 

 

 

  • improve economic results,
  • limit regulatory confrontation,
  • create a durable enterprise, and
  • emerge as a global leader.

 

My practice is built on work with North American and European enterprises from a range of industries.  I advise on existing as well as new markets. 

 

My expertise includes regulatory counsel, compliance, governance, litigation strategy, dispute resolution, IP, licensing, privacy, employment and planning.  It also extends to debt and equity financings, acquisitions and tax

 

My skills include business plans, financial models and investigation.

 

I serve as General Counsel for Institute for Social + Emotional Learning.  I advise on legal, financial, employment, IP, planning and operational matters.

 

In the sports industry, my skills extend to contract, licensing, collective bargaining, stadium financing, antitrust, Title IX, tax and gambling matters.

 

In the real estate industry, I represent owners, developers and users in sales, purchases, leases, development and financing of commercial properties.

 

E X P E R I E N C E

 

I worked as co-counsel on financing, acquisition, compliance, licensing, employee equity and other corporate matters with White Summers.  I practiced as Of Counsel at Miller Starr Regalia, a leading California real property law firm, where I assisted in establishing the firm's Silicon Valley office. 

 

I spent a decade working in the commerical property development and brokerage industry. I also launched the California Real Estate Clinic, a start-up that offered an alternative to standard property brokerage services.

My articles and op-ed pieces have appeared in Los Angeles Times, Inside Compliance, Inside HigherEd, California Lawyer, San Francisco Chronicle, University of Houston Institute for Higher Ed Law and Governance Monograph Series, Risk, Regulation and Policy eJournal, and Corporate Governance Law eJournal.

 

I wrote Women, Men & Money (Random House, 1998), and The Cost of a College Touchdown:  A Story of Trustee Miscalculation (Smashwords, 2014). 

 

Since 2014 I have been Adjunct Professor of Management at Menlo College.  My class explores legal, economic and societal issues in sports management. 

 

I hold a B.A. from Dartmouth College, where I studied Shakespeare, Marlowe and economics, and a J.D. from Boston University School of Law. I am admitted to the bar in California, and once coached a season of college basketball.
